Registered Agent Services

Dappr offers registered agent services in all 50 U.S. states through a strategic partnership with Computershare. This service ensures that businesses remain compliant with state requirements by designating an official point of contact for legal and government correspondence. Having a registered agent is a legal requirement for LLCs and corporations in most states, and Dappr provides a seamless solution for fulfilling this obligation.

Availability and Pricing

Dappr’s registered agent services are included in the Pro plan at no additional cost. For businesses using the Basic or Essentials plan, the service is available as an add-on for an annual fee of $149. This ensures that businesses, regardless of their selected plan, can meet state-mandated requirements for appointing a registered agent. The annual fee covers the cost of processing and forwarding important legal and government correspondence, ensuring timely notifications and compliance.

How It Works

When you designate Dappr’s registered agent service, the registered agent address is officially listed with the state of formation. Any legal correspondence, including court orders, service of process, and government notifications, will be received at this address. This is particularly crucial for businesses that do not have a physical presence in the state where they are registered, as it ensures a reliable point of contact for time-sensitive documents.

All mail received by the registered agent will be scanned and uploaded to the virtual mailbox within your Dappr account. You will also receive email and push notifications whenever new mail is added, ensuring you never miss critical legal or compliance-related documents. This digital approach simplifies document management and allows businesses to access important communications from anywhere.

Dappr’s registered agent service helps businesses remain in good standing with their state by ensuring that important legal and compliance-related documents are received and processed promptly. Failing to maintain a registered agent can lead to penalties, loss of good standing, and even administrative dissolution of the business entity.

Service Limitations

It is essential to understand the limitations and proper usage of the registered agent address:

  • Not a Business Address: The registered agent address cannot be used as a general business address for receiving non-legal mail. Businesses must maintain a separate business address for customer correspondence and operational matters.

  • Not for Marketing or Advertising: This address should not be listed on websites, business cards, or marketing materials as your company’s primary mailing address. Misuse of the address can lead to service termination.

  • Restricted Use: The address is strictly designated for receiving court notices, legal service of process, and official state correspondence. It should not be used for receiving business-related packages, invoices, or other non-legal mail.

  • Government and Legal Correspondence Only: The registered agent is responsible for accepting legal and government correspondence on behalf of the business, such as tax notices, compliance-related documents, and legal summons.

Compliance and Enforcement

To maintain the integrity of the registered agent service, Dappr enforces strict compliance with its Registered Agent Service Agreement. If a business misuses the registered agent address for purposes beyond its intended legal use, Dappr reserves the right to suspend or terminate the service without notice. Violations may include, but are not limited to:

  • Using the address for general business correspondence.

  • Listing it publicly for commercial purposes, such as advertising or client communication.

  • Receiving non-legal mail, including invoices, bank statements, or business-related shipments.

  • Attempting to use the registered agent address as the business’s primary office location or headquarters.

Misusing the registered agent service could lead to disruptions in compliance, potential state penalties, and termination of service. It is essential that businesses adhere to the intended use of the registered agent service to maintain their legal standing and ensure continuity in operations.

By adhering to these guidelines, businesses can ensure uninterrupted access to Dappr’s registered agent services while remaining compliant with state regulations. For more details on service terms, customers can review the Registered Agent Service Agreement within their Dappr account. This agreement outlines the full scope of the registered agent’s responsibilities and the terms businesses must follow to avoid suspension of service.

Alternative Solutions for Business Mail

For businesses that need a general mailing address for non-legal correspondence, Dappr provides separate solutions tailored to those needs. Business owners may opt for a virtual office or a business address service, which can be used for receiving invoices, client communications, and marketing materials. These services help ensure compliance while still providing a professional mailing solution.

If you have any questions regarding registered agent services or need assistance in selecting the best option for your business, our support team is available to provide guidance and recommendations.
