Affiliate Program Terms and Conditions

THIS AGREEMENT (the "Agreement") is entered into by and between Dappr Technologies, Inc., a Delaware corporation ("Dappr"), and you (the "Affiliate"), who have applied to participate in Dappr's affiliate program.

1. APPLICATION TO THE AFFILIATE PROGRAM To apply, the Affiliate must complete and submit the online application at www.dappr.com. Dappr will evaluate the application in good faith and will notify the Affiliate of its acceptance or rejection in a timely manner. Dappr may reject the application if it determines (in its sole discretion) that the Affiliate's site is unsuitable for the Affiliate Program for any reason, including, but not limited to, inclusion of content that is, in Dappr's opinion, unlawful or otherwise does not meet Dappr's values. 2. PROMOTION OF OUR AFFILIATE PROGRAM Upon acceptance into the Program, links will be made available to the Affiliate through the affiliate account dashboard on www.dappr.com. These links will serve to identify the Affiliate as a member of our Program and will establish a link from the Affiliate's website or platform to ours. 3. COMMISSION RATES & PAYMENT Affiliate shall receive a commission on the qualifying revenues as outlined in the attached Affiliate Program Commission Rates, labeled Exhibit A. The Commission Rates document forms an integral part of this Agreement. Dappr reserves the right to modify the Commission Rates at its discretion. Any changes will be posted in the updated Commission Rates document, and Affiliates will be notified of such changes. Commissions will be credited to the Affiliate's balance in their Affiliate account dashboard upon every referred customer's payment. The Affiliate may then request a payout to their payment method on file or choose to open a Dappr Checking account, an FDIC-insured account, and receive a Visa card that can be used for purchases. If any order that generated a referral fee is returned by the customer, the corresponding fee will be deducted from the next payment sent to the Affiliate. 4. AFFILIATE RESPONSIBILITY The Affiliate is solely responsible for ensuring that all links from the Affiliate's site to the Dappr site are appropriate, correctly structured, and lead to Dappr's site. The Affiliate is also responsible for the content and representations made on their site. 5. RULES OF CONDUCT The Affiliate agrees not to misrepresent Dappr's services, engage in spamming, illegal, or unethical methods of advertising, or participate in activities that are harmful to Dappr's brand or reputation. 6. TERM AND TERMINATION This Agreement will begin upon Dappr's acceptance of the Affiliate's application and will end when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon termination of this Agreement for any reason, all licenses granted hereunder shall immediately terminate and the Affiliate will cease using all links to Dappr's site. 7. LIMITATION OF LIABILITY Dappr will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if Dappr has been advised of the possibility of such damages. Dappr's aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to the Affiliate under this Agreement. 8. DISCLAIMER Dappr makes no express or implied warranties or representations with respect to the Affiliate Program or an Affiliate's potential to earn income from the Affiliate Program. In addition, Dappr makes no representation that the operation of the Dappr's site will be uninterrupted or error-free, and Dappr will not be liable for the consequences of any interruptions or errors. EXHIBIT A Dappr Technologies, Inc. Affiliate Program Commission Rates This document outlines the Commission Rates for Affiliates participating in Dappr Technologies, Inc.'s ("Dappr") Affiliate Program. This document is a part of the Terms and Conditions of the Affiliate Program. All Affiliates are required to agree to and abide by these Terms and Conditions. 1. COMMISSION STRUCTURE The commission structure for the Dappr Affiliate Program is as follows: - A $200 one-time reward for each successful referral of a customer who purchases an annual plan. - A $100 one-time reward for each successful referral of a customer who purchases a monthly plan. - A recurring 10% commission on all future payments made by referred customers. 2. PAYMENT PROCESS These commissions will be credited to the Affiliate's balance in their Affiliate account dashboard upon every referred customer's payment. The Affiliate may then request a payout to their payment method on file or choose to open a Dappr Checking account, an FDIC-insured account, and receive a Visa card that can be used for purchases. If any order that generated a referral fee is returned by the customer, the corresponding fee will be deducted from the next payment sent to the Affiliate. 3. CHANGES TO COMMISSION RATES Dappr reserves the right to modify these Commission Rates at its discretion. Affiliates will be notified of any changes to the Commission Rates document, which will be posted in the Affiliate account dashboard. By participating in the Affiliate Program, you acknowledge that you have read, understood, and agree to these Commission Rates as well as the Affiliate Program Terms and Conditions.
